Distance contract

This Agreement is entered into between Z1 Distributions SIA, Registration No. 40003897073, registered office at Bāriņu 7-7, Riga, LV-1002, Telephone: +371 27072708 E-mail: info@z1.lv (hereinafter - Seller), and a private natural or legal person (hereinafter referred to as Buyer)who makes a purchase on the Seller's website "Z1 Distributions" (hereinafter referred to as - e-shop).

1. Subject of the Contract

A distance contract is an agreement between the Buyer and the Seller based on the Seller's e-shop offer. The Agreement applies to all orders placed on the Seller's e-shop.

2. Conclusion and entry into force of the Contract

The Contract shall come into force as soon as the Buyer has placed an order in the e-shop and received confirmation of the conclusion of the Contract from the Seller. The order and the order confirmation shall be deemed to have been received when the parties to whom they are addressed have access to them.

 By confirming the order in accordance with the order form, the Buyer agrees to pay the price of the goods in the stock. The Seller reserves the right to unilaterally change the prices of the goods, to set a special price for the goods, at any time, without any obligation to do so. Goods are sold at the prices in force at the time the order is placed and published in the online shop. If, for technical reasons, the prices of the goods published on the Internet are inappropriate or incorrect, the Seller shall inform the Buyer that, for technical reasons, the order cannot be fulfilled.

Product descriptions use information and images provided by the manufacturer. Images are illustrative and may vary in nature.

3. Rules for ordering products

The Buyer may shop in the Seller's e-shop with or without prior registration.

In order to purchase the Seller's goods, the Buyer shall:

• In the product catalogue choose the product or products. The buyer must specify number of items and they to be added in the cart. The contents of the shopping cart can be edited and changed.
• Order must be confirmed, by pressing the button "Order”.
• Order form must be completedand choose the most convenient type of delivery. Depending on the type of delivery, an additional delivery charge will be added to the Order total. The information provided by the Buyer will be used for invoicing.
  In order to complete the processing of the order, the Buyer must read these Terms and Conditions and the Privacy Policy.
  The invoice shall be drawn up electronically and sent to the e-mail address provided by the Buyer. By placing an order, the Buyer agrees to receive the invoice electronically without the "Signature" requisite. At the Buyer's request, the invoice may also be sent by e-mail with a secure electronic signature.
  The buyer has the option to pay for the goods online, using the payment options listed in payment cards or internet banking The buyer must fill in the fields indicated as the minimum required for payment and make the payment.

• The Buyer's order will be registered after the Buyer has made payment. A confirmation of the Order registration will be sent to the e-mail address provided by the Buyer.

When placing an order, the Buyer must specify:

• product;
• the quantity of the products;
• name of the buyer / legal entity - company name;
• personal ID number / legal entity - company registration number and registered office address;
• one of the delivery methods;
• delivery address (if delivery by courier is selected);
• phone number;
• email address.

Orders are processed on working days from 10:00 to 17:00. If the order is placed at other times, it will be processed next on a working day.

Upon receipt of the order, the Seller will contact the Buyer, if necessary, to possibly clarify the information and/or confirm the order.

4. Terms of payment

Once the order form has been completed, an invoice will be sent to the e-mail address provided by the Buyer, which must be paid before the goods can be collected (except in the case of online payment by credit card). The invoice will contain all the details required for payment via Online Banking or a bank branch.

The order will be deemed to have been accepted upon payment and delivery of the goods will be made upon receipt of the money in the Seller's current account.

Depending on the method of receipt chosen, the following will be deemed to be confirmation of delivery (receipt of goods):

• Confirmation of delivery issued by the post office;
• Proof of receipt of the goods by the buyer - signed delivery note (invoice);
• During the period when strict epidemiological safety rules are in place throughout the national territory, in order to implement the basic principle of distancing and to guarantee personal rights in the field of epidemiological safety, the proof of delivery/receipt of the consignment is an e-mail printout together with an electronic invoice (without the mandatory "signed" requisite).

5. Delivery terms

Products can be collected from:

• The Seller provides direct deliveries, in accordance with the delivery times and delivery service prices indicated in the e-shop. Delivery shall be made to the front door of the building at the address specified by the Buyer. The Buyer shall ensure unloading and acceptance of the goods. Goods shall not be delivered to places where vehicles are prohibited from stopping - in such cases, the nearest place where stopping is permitted shall be specified in the order.
• By courier, in accordance with the delivery deadlines set by Latvia and the delivery service prices set by the e-shop.

The Seller reserves the right not to deliver/deliver the goods if the Buyer has not made payment for the goods or delivery.

Prices include value added tax (VAT).

The price does not include delivery charges.

Delivery charges are shown separately and may vary depending on the type of delivery and the weight of the item.

The Seller shall not be liable and shall not compensate the Buyer for any loss if the scheduled delivery date is delayed.

6. Warranty

The warranty for the goods offered by the Seller in the e-shop is provided in accordance with the warranty conditions set by the manufacturer of the goods and the national legislation for the relevant product groups.

If during the warranty period the Buyer has any complaints regarding the quality of the purchased goods, the Buyer may contact the Seller with the goods and proof of payment.

If a manufacturing defect is detected, the Seller undertakes to exchange the product for a corresponding product.

If a defect is found in the goods caused by the Buyer during use, the goods will not be replaced.

The guarantee shall be cancelled if:

• goods intended for personal (household) use have been used for other purposes;
• the product has been repaired or redesigned;
• any damage is found;
• foreign objects, insects, liquids or other substances getting inside or on the surface of the goods;
• natural disasters, fires and accidents;
• in case of improper use or storage;
• in other cases where the damage to the goods was causally caused.

Complaints by the Buyer regarding the quality of the goods purchased will be dealt with in accordance with "Consumer Rights Protection Law", Cabinet of Ministers Regulation No 255 of 20 May 2014 "Distance contract rules". etc. applicable law.

The warranty does not cover the subjective characteristics of the goods, such as the content, taste, smell, etc. of the goods and the buyer's expectations of the goods.

7. Contract performance period

The Seller shall ensure dispatch of the goods within 3-5 days, but reserves the right to dispatch the goods up to 30 days, subject to availability, delivery time to be agreed with the Buyer.undertakes to fulfil the terms of the Contract in the territory of the Republic of Latvia not later than 30 days after receipt of the order from the Buyer or in accordance with the deadlines set out in the e-shop.

If the Seller is unable to perform the Contract due to a shortage of the goods ordered by the Buyer, the Seller shall inform the Buyer thereof. In such case, the Seller may offer the Buyer an equivalent product or refund the purchase price paid for the product.

8. Right of withdrawal

In accordance with the Consumer Rights Protection Law of the Republic of Latvia, the Buyer (consumer) may exercise the right of withdrawal and unilaterally withdraw from this Agreement within 14 calendar days and return the goods purchased in the e-shop to the Seller.

The right of withdrawal may be exercised only by the Buyer who, in accordance with the provisions of the Law of the Republic of Latvia on the Protection of the Rights of Parents, is recognised as a parent, i.e. a natural person who purchased the goods for a purpose which is not related to his economic or professional activity.

The 14-day right of withdrawal did not apply to groceries, beverages or other goods intended for immediate household consumption.

The right of withdrawal will expire after 14 days from the date on which the Buyer has acquired possession of the goods or a third party, other than the carrier, designated by the Buyer has acquired possession of the goods.

In order to exercise the right of withdrawal, the Buyer must inform the Seller of the decision to withdraw from this Contract by an unequivocal notice, e.g. by post (Bāriņu 7-7, Rīga, LV-1002) or by e-mail info@z1.lv. The Buyer may use the attached withdrawal form.

Consequences of refusal

If the Buyer withdraws from this Contract, the Seller shall refund to the Buyer all payments received from the Buyer, without undue delay and in any event not later than 14 days from the date on which the Seller was informed of the Buyer's decision to withdraw from this Contract, the return of the goods to the Seller and after the Seller has ascertained the technical and visual condition of the goods. Refunds will be made using the same means of payment as used by the Buyer for the original transaction, unless the Buyer has expressly agreed otherwise. In any event, no charge will be made to the Buyer in connection with such repayment.

In the event of exercise of the right of withdrawal, the Seller shall not reimburse the Buyer for the costs of returning the goods.

The Seller does not provide a cash refund of the value of the goods.

Buyer can not exercise the right of withdrawal if:

• the buyer (consumer) has not ensured the quality and safe preservation of the product during the exercise of the right of withdrawal;
• the product is mechanically and/or visually damaged, the value of the product has decreased;
• the product have been used in a way that is incompatible with the principle of good faith, including being used for purposes other than their intended use

The Seller reserves the right to refuse the Buyer the right of withdrawal if the product have been damaged by neglect during use or have been used contrary to their normal purpose and manner of use and storage.

The right of withdrawal does not apply to the subjective characteristics of the goods, such as the conformity of the content of the product with the Buyer's wishes and expectations.

If the Buyer considers that its interests have not been respected, it may have recourse to the out-of-court dispute resolution commissions of the buyers https://registri.ptac.gov.lv/

9. Return policy

The Products shall be returned to the Seller at its registered office at Bāriņu 7-7, Riga, LV-1002 without undue delay and in any case not later than 14 days from the date on which the Buyer has notified the Seller of its decision to withdraw from this Contract. The time limit shall be complied with if the Buyer returns the goods before the expiry of the 14-day period.

When returning a purchased product, the buyer must enclose a document confirming the purchase. The goods must be in their original packaging.

10. Confidentiality and processing of natural persons' data

The Seller considers the Buyer's data to be sensitive data, undertakes not to disclose it and not to pass on information about the Buyer to third parties without a legal basis. The Seller shall comply with the requirements of the "General Data Protection Regulation 2016/679" when processing personal data. The processing of data by the Seller shall be carried out in accordance with the Seller's approved privacy policy.

By entering the necessary information for placing an order in the e-shop, sending his/her data to the Seller electronically or providing them by telephone for the purpose of placing an order, the Buyer confirms that he/she is familiar with the information that the data provided by him/her are used to enable the Seller to accept the Buyer's order and deliver the goods in accordance with the requirements of the laws and regulations of the Republic of Latvia.

The information to be entered for placing an order is the minimum information required to make and complete the purchase. The Buyer is informed that the Buyer will be sent notifications related to the processing and execution of the Buyer's order to the e-mail address provided by the Buyer.

The Seller reserves the right to inform the Buyer about new goods, discounts, services.

The Buyer's rights in the area of processing of natural persons' data can be found in detail in the Seller's approved privacy policy.

11. Duration of the contract

The Contract shall enter into force upon payment by the Buyer of the order for the Products and shall remain in force until the Parties have fully performed their obligations to each other.

12. Dispute resolution

All disputes and differences arising out of this Agreement and its performance shall be settled by negotiation between the Parties. If the dispute cannot be settled, the interested party shall be entitled to apply to a court of general jurisdiction in accordance with the procedures laid down in the Civil Procedure Law.
